FC LEAGUE ISSUES “CODE OF RULES” FOR FORMATION OF FOOTBALL CLUBS

Name

The club will be called ________________________ (the "Club"). The sponsor/promoter will suggest 3 names for the club and name the club after the approval of the FC League

Legal Structure

The club will be set up in a corporate form i.e either as a Private Limited or Limited company

Objects

The objects of the Club shall be to provide facilities and promote Football/Soccer and the Football Club League. It will arrange matches and social activities for its members and community

Status of Rules

These rules (the "Club Rules") form a binding agreement between each member of the Club

Rules and Regulations

- The business and affairs of the Club are carried out in accordance with the Rules and Regulations of The FC League ("The FC League") and Competitions in which the Club participates

- No alteration to the Club Rules shall be effective without prior written approval of the FC League.

Club Membership

- The members of the Club from time to time shall be those persons listed in the register of members (the "Membership Register") which shall be maintained by the Club Secretary

- Any person who wishes to be a member must apply on the Membership Application Form and deliver it to the Club. Membership is at the discretion of the Club Committee

- The FC League will have access to the Membership Register

Annual Membership Fee

- An annual fee payable by each member shall be determined by the Board

- The Board can collect further subscriptions from the members to fulfil the objects of the Club

Resignation and Expulsion

- A member whose annual membership fee or further subscription is more than two (2) months in arrears shall be deemed to have resigned

- The Board can expel a member when, in its opinion, it would not be in the interests of the Club for them to remain a member

Annual and Extraordinary General Meetings
All meetings as required by the ROC will be held by the company and get the following from the management (apart from standard compliance requirements):


- Report of the activities of the Club over the previous year

- Club’s finances over the previous year;

Club Teams

At its first meeting following each AGM the Board shall appoint a Selection Committee that will be responsible for each of the Club’s football teams. The appointed members shall be responsible for selecting and managing the team

Club Finances

- A bank account shall be opened and maintained in the name of the Club (the "Club Account")

- The Club Property shall be applied only in furtherance of the objects of the Club. No distribution of profits or proceeds from the sale of Club Property to members is allowed

- The Club may can sell and supply food, drink and related sports clothing and equipment; accept sponsors and advertiser

The Club will submit their audited financial statement to the FC League within 3 months from the year ending

Dissolution

- A resolution to dissolve the Club shall only be proposed at a General Meeting and must have the vote of 3/4 shareholders

Uniforms

- All uniforms,logos, team sponsors etc will be approved by the FC League

Others

A club can be sold (with the FC League’s prior approval) in the following manner after the sponsors/promoters have owned in for a minimum of 3 years in the following manner:

a) Selling a stake in the holding company

b) Selling the entire holding company

c) Selling the club brand to another company
